Terms & Conditions of Advertising

 
1.  GENERAL

1.1  "PlacesForAfrica.com" hereby refers to a subsidiary of a registered Close Corporation, HostSite CC, including its affiliate partners and websites.
1.2  By submitting an application to list your establishment on PlacesForAfrica.com, whether it be via our online application form, fax or email and/or any other form of correspondence, you agree that you have read and understood these terms and conditions and warrant your authority to be doing so on behalf of said establishment, and that you and the establishment that you may represent (hereby referred to as "client") are bound by these terms and conditions and have entered into a legally binding contract for advertising for the duration of said contract.
1.3  In reference to section 1.2, the client agrees to an electronic, paperless subscription.
1.4  PlacesForAfrica.com reserves the right to make amendments to its terms from time to time, and states that the most recent terms will always be made available on its main website.


2.  ADVERTISING COSTS AND DURATION

2.1  The initial cost of advertising is R580 (+ a once-off setup fee of R200) for the first year of advertising and subscription.
2.2  The subsequent yearly subscription fee will then be based on the effectiveness of the client's advert during the preceding year or promotional period (whichever is relevant). This will comprise the number of bookings and enquiries received. It does not refer to the number of hits or visits to the advert.
2.3  All advertising fees exclude VAT at 14%.
2.4  All subscription fees are to be paid for in advance and in full, and are valid for one full year from the date of activation of the listing on the PlacesForAfrica.com website.
2.5  PlacesForAfrica.com takes NO commission for bookings; any revenue generated is for the client to keep in full.

3.  ENTITLEMENTS

As a client of PlacesForAfrica.com you are entitled to the following:

3.1  Your own 6 page website on PlacesForAfrica.com, which includes the following:

- main page (showcasing your establishment's full description, photographs and accreditations)
- facilities & services page
- rates & specials page
- directions page (with map if applicable)
- reviews page
- an online enquiry and bookings form (any enquiry or booking will go directly to you)

3.2  A complementary advert on Holiday.org.za
3.3  A listing on one of our 9 provincial websites
3.4  Inclusion in the PlacesForAfrica Mobile directory (for cellphone searches)
3.5  Access to your own login panel
3.6  Statistical tracking
3.7  Free updates (where deemed reasonable)
3.8  Benefits from PlacesForAfrica's online promotions. This includes search engine optimisation and pay-per-click campaigns.


4.  COMPANY RIGHTS AND EXCLUSIONS

4.1  Only one establishment / holiday accommodation may be listed under the establishment's name. Should a client have more than one establishment, these will have to be applied for separately, and under different names. This also applies to establishments whose free standing units / dwellings may have different descriptions, rates, facilities, and/or accreditations.
4.2  PlacesForAfrica.com deals directly with all of its establishments, and is not involved with any third party ventures such as booking or letting agencies. The latter may be wavered where explicitly requested on behalf of the establishment's management, and is at the sole discretion of PlacesForAfrica.com.
4.3  Accommodation must available all year round, or the majority thereof. This equates to a minimum of at least ten (10) months throughout the year. Timeshare units are thus not permitted.
4.4  Establishments will only be listed in their actual location (or nearest town). Listing in more than one town is only permitted where establishments are within close proximity of such specified towns, and is at the sole discretion of PlacesForAfrica.com.
4.5  PlacesForAfrica.com reserves the right to edit any advertisement as it sees fit in order to comply with its own design and layout specifications, and includes but is not limited to text, images and logos.
4.6  PlacesForAfrica.com reserves the right to withdraw or refuse any application it deems inappropriate, or that is in conflict with its terms and conditions as stated herein.


5.  COPYRIGHT

5.1  All content, including but not limited to: text, images, logos as well as design concept and layout remains the exclusive property of PlacesForAfrica.com and its parent company HostSite CC.
5.2  None of the aforementioned may be copied, distributed or utilised in anyway without the explicit prior consent of PlacesForAfrica.com and its management.
5.3  All clients consent that their content (text, images and logos) that forms part of their accommodation's listing is free from copyright infringement, and is made available for PlacesForAfrica.com to use as it sees fit. Any infringement arising as a result of the use of this content will hold the client liable, and not PlacesForAfrica.com.

6.  CONTENT INFORMATION

6.1  Only content that is relevant to the establishment in question will be published.
6.2  It is the client's duty to provide PlacesForAfrica.com with the abovementioned content (6.1), and to ensure that their content is relevant.
6.3  Only RACK rates may be displayed, no STO or other rates will be permitted.
6.4  PlacesForAfrica.com reserves the right to withdraw any content that misrepresents the establishment, or misleads the visitor. Such conduct may lead to immediate cancellation of the establishment's listing from the website(s) without question or refund.
6.5  Linking to external (third party) websites from within a client's advert is not permitted.


7.  UPDATES

7.1  Clients are responsible for updating their own content (where possible) via the client login facility, and ensuring that their content remains up to date and accurate.
7.2  PlacesForAfrica.com will not be held responsible for out of date information which is displayed on its websites, nor for following up on clients to provide us with same.
7.3  Any additional updates, such as that of photographs or content that cannot be updated via the client themselves will be done by PlacesForAfrica.com free of charge where deemed reasonable.
7.4  Updates sent to PlacesFroAfrica.com should only be requested via email (for your protection).
We will only accept requests from an email address associated with the particular establishment and/or client.
7.5  Where an update is requested via fax, a telephonic confirmation will be conducted first.
7.6  We DO NOT accept direct telephonic updates.


8.  PAYMENTS & RENEWALS

8.1  All renewal fees are to be paid for in advance and in full, and are valid for one (1) full year from the indicated due date on the invoice.
8.2  Clients will receive a renewal invoice via email and/or fax at least fourteen (14) days prior to the expiration date of their current subscription. During this period the client has the option of renewing their subscription with PlacesForAfrica.com.
8.3  Should the client wish to cancel their subscription, they are required to notify PlacesForAfrica.com BEFORE the expiration date of their current subscription to this intention in writing. This written correspondence is to come from the listed establishment's management. Please refer to Section 9 "Cancellations" for further information.
8.4  Should the client not cancel their subscription before the expiration date, it will be deemed that the client wishes to continue with their advertisement subscription. The subscription will subsequently be renewed for a further year and all monies payable thereto will be liable and due.
8.5  PlacesForAfrica.com reserves the right to suspend or remove an establishment from its website(s) due to outstanding balances.
8.6  Advertisements may not be placed "on hold" to be reinstated at a later stage.


9.  CANCELLATIONS

9.1  Cancellations may ONLY be made in written form which is to come from the listed establishment's management. If appropriate, a telephonic confirmation will be conducted by one of our sales agents with the respective client.
9.2  Cancellations made to adverts during a particular year cycle (or promotional period) and before the end of such cycle, will forfeit the right to advertise to the completion date thereof. PlacesForAfrica.com reserves the right to remove any application with immediate effect and without refund in such circumstance.
9.3  PlacesForAfrica.com reserves the right to exclude previously cancelled subscriptions from re-listing on the PlacesForAfrica portfolio of websites.
9.4  Client subscription fees are non-refundable.


10.  LEGAL

10.1  PlacesForAfrica.com may, in its sole discretion, change this agreement or any part thereof at any time without notice, but states that the most recent terms will always be made available on its main website.
10.2  PlacesForAfrica.com chooses as its domicilium citandi et executandi for all purposes under this agreement, whether in respect of court process, notice, or other documents or communication of whatsoever nature: PlacesForAfrica.com, Private Bag X1, Suite No 628, Durbanville, 7551
10.3  Should PlacesForAfrica.com institute action against any client pursuant to a breach by the client of this agreement, then without prejudice to any other right which PlacesForAfrica.com may have, PlacesForAfrica.com shall be entitled to recover all legal costs incurred by it on an Attorney / Own Client Scale, tracing fees and such collection commission as PlacesForAfrica.com is obliged to pay its attorneys.
10.4  PlacesForAfrica.com shall be entitled at its option to institute any legal proceedings, which may arise out of or in connection with this agreement in a Magistrate's Court having jurisdiction, notwithstanding the fact that the claim or value of the matter in dispute might exceed the jurisdiction of such Magistrate's Court in respect of the cause of action. PlacesForAfrica and the client agree in terms of section 45 of the Magistrate's Court Act, 1944, to the jurisdiction of the Magistrate's court in respect of any proceedings pursuant to this agreement.
